You agree not to access (or attempt to access) the Unity Asset Store in any manner other than through the interface provided by Unity, unless you have expressly authorized to do so in a separate agreement with Unity. You expressly agree not to access (or attempt to access) the Unity Asset Store by automated means (including the use of scripts, crawlers, or similar technologies from time to time). These Terms constitute the entire legal agreement between you and Unity and govern your use of the Asset Store and Unity Assets and completely supersede all prior agreements between you and Unity with respect to the Asset Store and Unity Assets. Each party acknowledges that it has not relied on any statements or representations not expressly contained herein to accept the Terms. Notwithstanding any other provision of the Terms, neither party will limit or exclude its liability for fraudulent misrepresentation. Except as expressly permitted by a separate agreement with Unity, and except to the extent permitted by the Unity EULA, you agree not to reproduce, duplicate, copy, sell, trade, or resell the assets you have licensed to the Unity Asset Store for any purpose. Service SDK: If the END USER downloads and integrates Service SDKs, the END USER may be required to accept an End User Agreement from Licensor and/or additional terms from Licensor in order to use such Services. Under the license agreement, UNITY will receive exclusive intellectual property rights worldwide from UCSF with respect to the use of the alpha-klotho protein, including a recently granted patent covering methods of using the alpha-klotho protein and its variants to reverse or prevent cognitive decline. The negotiations were led by the technology management team at UCSF Innovation Ventures` office, which leads the university`s business development, technology licensing, and efforts to translate cutting-edge scientific knowledge into therapies and products that directly benefit patients around the world.
Financial terms of the deal were not disclosed. If Customer has a subscription to access and use the Unity Source Code and has created Customer Changes (as defined in the applicable agreement between UTECH and Customer), UTECH will use reasonable efforts to respond to all related support requests. If UTECH determines, in its sole discretion, that it is unable to provide success services integrated with Customer`s changes, including, but not limited to, the nature of such Customer changes and/or UTECH`s lack of access to Customer`s changes, UTECH may offer to provide specialized professional services. If the Customer accepts this offer, UTECH may charge the Customer for all services provided by UTECH at the then-current UTECH material and hour prices. The customer must pay UTECH within the invoicing deadlines. To use Unity Asset Store, you must be at least 18 years old. By using the Service, you warrant that you have the legal capacity to enter into the Agreement. Notwithstanding the parties` agreement to resolve all disputes through arbitration, either party may bring a legal action: (a) to enforce its intellectual property rights (“Intellectual Property Rights” means patents, copyrights, moral rights, trademarks and trade secrets, but not rights to privacy or publicity), including, but not limited to, injunctive relief; (b) in cases that do not concern intellectual property rights, apply for a temporary, interim or other expedited or provisional injunction (but no pecuniary damages); or (c) collect fees due under the Agreement. If you reside (or have your principal place of business) in the United States and the parties have a dispute over intellectual property rights, you and Unity agree to submit to the personal and exclusive jurisdiction of the state and federal courts located in San Francisco County, California. If you reside (or have your principal place of business) outside the United States and the parties have a dispute over intellectual property rights, you and Unity agree to submit to the personal and exclusive jurisdiction of the courts located in Copenhagen, Denmark. The parties agree to accept service of the proceedings by post and hereby waive all otherwise available court and venue defenses.
“Customer Error” means problems with the operation or performance of the Unity Products to the extent that UTECH can demonstrate that such problems are caused by: (a) third-party software or hardware products or the use of the Unity Products in connection therewith, or (b) Customer`s use of the Unity Products in a manner other than as permitted in its subscription agreement with UTECH. Unity (sometimes “our” or “we”) provides game development and related software (the “Software”), support services, and other development-related services (such as Unity Teams (“Developer Services”) and various Unity communities (such as Unity Answers and Unity Connect (“Communities”)) that are provided through or in connection with our Website and may access unity3d.com or unity.com (collectively, the “Website”). Except to the extent that you and Unity have entered into a separate agreement, these Terms and Conditions govern only your access to and use of the Software, Development Services, Communities, and the Website (collectively, the “Services”) and constitute a binding legal agreement between you and Unity (the “Terms”). These Terms, including any additional terms referred to in Section 1.3 below, collectively constitute the “Agreement”. Unless otherwise stated, “Unity” as used throughout the Agreement means Unity Technologies ApS. Accordingly, this EULA applies regardless of whether an acquired asset is produced by Unity or a supplier (“Licensor”). This EULA is therefore a non-exclusive and legally binding End User License Agreement that may exist between (i) Unity and the END USER (in which case the term “Licensor” refers to Unity) or (ii) the Provider and end USER (in which case, the term “Licensor” means the Provider). Under the terms of the agreement, Unity will acquire Parsec for approximately $320 million in cash. The proposed acquisition is expected to close by Unity in the third quarter and is subject to customary closing conditions. You acknowledge and agree that by accessing, purchasing, or using the Services, you indicate that you have read, understood, and agreed to be bound by the Agreement, created a Unity Account, subscribed to the Unity Newsletter, or otherwise registered on the Site.
If you do not agree to these Terms and the applicable additional terms, you have no right to access or use any of the Services. 2.
